The city council announced preliminary approvals on Wednesday, voting on the expected issues by the end of the month.
According to the Italian tax agency, the 99-year-old stadium and its surrounding area are worth 107 million euros ($233 million).
San Silo is scheduled to hold the opening ceremony of the Milan Cortina Olympics in February.
Both clubs have backup plans to build a new stadium outside of Milan if a deal occurs with the city of San Siro.
The idea is to prepare a new stadium when Italy co-hosts 2032 European Championship With Türkiye.
